Vendor Terms

This page sets out everything that applies to vendors selling on Afrimarkethub.com — including the Seller Agreement, Code of Conduct, Product Safety and Compliance Policy, and Intellectual Property and Takedown Policy.

Part 1 — Vendor Terms and Seller Agreement

Vendor Eligibility and Onboarding

These Vendor Terms and Seller Agreement apply to vendors who apply to sell, list products, receive orders or trade through Afrimarkethub.com. By registering as a vendor or using vendor features, you agree to these terms and any additional marketplace policies we provide.

Vendors must provide accurate business, identity, tax, contact, bank and product information requested during onboarding. We may approve, reject, suspend or remove vendors at our discretion where necessary to protect customers, comply with law, manage risk or maintain marketplace standards. Vendors must keep their information up to date.

Vendor Responsibilities

  • Vendors are responsible for all products they list and sell through the marketplace.
  • Vendors must ensure product listings are accurate, lawful, clear and not misleading.
  • Vendors must comply with UK consumer law, product safety law, labelling rules, advertising rules, tax obligations and all laws applicable to their products and business.
  • Vendors must fulfil orders promptly, professionally and in accordance with stated delivery information.
  • Vendors must cooperate with customer service, complaints, refunds, returns, recalls, investigations and compliance checks.

Prohibited and Restricted Products

Vendors must not list illegal, counterfeit, unsafe, recalled, stolen, misleading, infringing, restricted or prohibited products. Additional approval may be required for regulated categories such as food, cosmetics, supplements, electronics, children's products, medical or health-related products, alcohol, age-restricted items or imported goods. We may remove listings or suspend vendors where risk or non-compliance is identified.

Fees, Commission and Payouts

Marketplace fees, commission, payment processing charges, subscription fees or other charges will be communicated to vendors separately or through the vendor dashboard. We may deduct applicable fees, refunds, chargebacks, penalties, taxes or amounts owed before making payouts. Payouts may be delayed or withheld where fraud, dispute, refund, legal, compliance or account verification issues arise.

Customer Data and Confidentiality

Vendors may only use customer personal information for legitimate marketplace purposes, such as fulfilling orders, delivery, customer service, returns, refunds and legal compliance. Vendors must not use customer data for unrelated marketing, resale, profiling or external contact unless permitted by law and authorised by Afrimarkethub. Vendors must keep customer information secure and confidential.

Product Safety, Recalls and Compliance

Vendors must ensure their products are safe, genuine, lawfully sourced, properly labelled and compliant with all applicable laws. Vendors must notify Afrimarkethub immediately of any product safety issue, recall, regulatory investigation, customer injury, counterfeit concern or legal claim. Vendors must cooperate with removals, customer notices, refunds, recalls and regulator requests.

Reviews, Communications and Conduct

Vendors must communicate professionally and honestly with customers and Afrimarkethub. Vendors must not manipulate reviews, offer incentives for false feedback, harass customers, make misleading claims, bypass the marketplace, divert customers away from Afrimarkethub or damage marketplace trust.

Suspension and Termination

We may suspend, restrict, remove listings, withhold payouts or terminate vendor access where we reasonably believe a vendor has breached these terms, broken the law, created risk for customers, provided inaccurate information, sold prohibited products, failed to fulfil orders, received repeated complaints or acted in a way that harms the marketplace.

Indemnity

Vendors agree to indemnify Afrimarkethub Ltd against losses, claims, costs, damages, penalties, refunds, chargebacks, liabilities and expenses arising from their products, listings, legal non-compliance, customer disputes, intellectual property infringement, product safety issues, data misuse, tax obligations or breach of these terms.

Governing Law

These Vendor Terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, unless mandatory law requires otherwise.

Part 2 — Vendor Code of Conduct

Honesty and Fair Trading

This Vendor Code of Conduct sets the minimum standards expected of all vendors using Afrimarkethub.com. Vendors must act lawfully, honestly, professionally and responsibly when listing products, fulfilling orders, communicating with customers and working with Afrimarkethub Ltd.

Vendors must trade honestly and must not mislead customers, Afrimarkethub or regulators. Product descriptions, prices, images, availability, delivery estimates, product claims and business information must be accurate, lawful and up to date.

Customer Service Standards

Vendors must respond to customer and Afrimarkethub enquiries professionally and within reasonable timeframes. Vendors must cooperate with order updates, delivery issues, complaints, refunds, returns, replacements, recalls and dispute resolution.

Compliance with Law and Marketplace Policies

Vendors must comply with all applicable laws and regulations, including consumer protection, product safety, advertising, tax, data protection, intellectual property, anti-bribery, anti-slavery, employment, import/export and trading standards requirements. Vendors must also comply with all Afrimarkethub policies that apply to their activity on the marketplace.

Respectful Conduct

Vendors must treat customers, Afrimarkethub personnel, delivery partners and other vendors with respect. Harassment, abuse, discrimination, threats, intimidation, offensive communications, retaliation or dishonest conduct will not be tolerated.

Ethical Sourcing and Labour Standards

Vendors must not source or sell products connected with modern slavery, forced labour, child labour, unsafe working conditions, unlawful wages, human trafficking or exploitative practices. Vendors must take reasonable steps to ensure that their own suppliers and subcontractors meet ethical and lawful labour standards.

Enforcement

Afrimarkethub may investigate suspected breaches of this Code and may require information, remove listings, issue warnings, restrict account features, suspend sales, withhold payouts, terminate vendor access or report unlawful conduct to relevant authorities where appropriate.

Part 3 — Product Safety and Compliance Policy

General Safety Duty

This Product Safety and Compliance Policy applies to all vendors listing or selling products through Afrimarkethub.com. Vendors are responsible for ensuring that every product they offer is safe, genuine, lawful, properly labelled, traceable and compliant with all applicable UK and other relevant legal requirements.

Vendors must only place safe products on the marketplace. Products must be suitable for their intended use, free from unacceptable risk, accurately described and accompanied by any necessary warnings, instructions, age restrictions, ingredients, allergen information, safety information or compliance markings.

Evidence and Records

Vendors must keep adequate compliance records and provide them to Afrimarkethub on request. These may include supplier details, invoices, certificates, declarations of conformity, test reports, UKCA or CE evidence where relevant, batch or lot records, import documents, labelling information, allergen or ingredient information and recall procedures.

Higher-Risk Products

Additional checks may apply to higher-risk or regulated categories, including food, cosmetics, supplements, electrical goods, batteries, chargers, toys, children's products, baby products, medical devices, health-related products, age-restricted goods, imported goods and branded goods. Afrimarkethub may require approval before such products are listed.

Product Incidents, Recalls and Regulator Contact

Vendors must notify Afrimarkethub immediately if they become aware of a product safety concern, customer injury, product defect, counterfeit allegation, regulatory investigation, recall, withdrawal, warning notice or legal claim. Vendors must cooperate fully with customer notifications, product removals, refunds, recalls, investigations and regulator requests.

Afrimarkethub Actions

Where safety or compliance concerns arise, Afrimarkethub may request evidence, remove or restrict listings, suspend sales, notify customers, cooperate with regulators, require corrective action, process refunds, withhold payouts, suspend vendor access or terminate a vendor account.

Part 4 — Intellectual Property and Takedown Policy

Vendor Responsibilities

Afrimarkethub respects intellectual property rights and expects vendors to do the same. This Policy explains how rights owners can report suspected infringement and how Afrimarkethub may respond to complaints involving trademarks, copyright, designs, patents, counterfeit goods, product images, brand names or other protected rights.

Vendors must only list products, images, descriptions, brand names, logos and content that they are legally entitled to use. Vendors must not sell counterfeit goods, copy another business's content, misuse trademarks or create misleading brand associations.

How to Submit an IP Complaint

Rights owners or authorised representatives should contact support@afrimarkethub.com with their name, organisation, contact details, proof of ownership or authority, details of the right allegedly infringed, the affected product listing or vendor, a clear explanation of the complaint and any supporting evidence.

Our Review Process

We may review the complaint, request further information, contact the vendor, remove or restrict a listing, suspend a vendor account or take other appropriate action. We may reject incomplete, abusive, bad-faith or unsupported complaints. Vendors may be asked to provide evidence of authenticity, authorisation or lawful use.

Repeat Infringement

Afrimarkethub may suspend or terminate vendors who repeatedly infringe intellectual property rights, list counterfeit goods, fail to provide evidence when requested or misuse marketplace content.
